Do You Need a Trade & Business License?

In the Cayman Islands, it is a criminal offence to operate a business in the local market without a valid Trade & Business License (T&B License) or other approved license, unless your activity falls under a statutory exemption. The requirement applies to individuals, partnerships, and companies seeking to carry on any trade or business “in or from” the Cayman Islands, even if the company is incorporated elsewhere.

The Trade and Business Licensing Board issues T&B Licenses under the Trade and Business Licensing Act (2021 Revision). Each license is specific to the business activity being conducted, if a company operates more than one line of business, a separate license may be required for each.

Certain professions and activities are exempt from the T&B License requirement. These include:

  • Banks and trust companies licensed under the Banks and Trust Companies Act
  • Law firms and attorneys licensed under the Legal Practitioners Act
  • Medical professionals, educational institutions, and non-profits regulated by other Cayman authorities
  • Caymanian individuals engaged in small-scale cottage industries, such as traditional craftwork, fishing, or home-based agricultural sales

However, the scope of these exemptions is narrow and can be easily misunderstood. If you are unsure whether your business requires a license, legal advice is essential. Operating without a valid license can result in significant fines, business disruption, and reputational damage.

At KSG Attorneys, we help clients determine whether they need a T&B License, which license class applies, and how best to structure the business to comply with local law.

Understanding Caymanian Ownership Rules

Cayman Islands law places a strong emphasis on ensuring that local economic activity remains majority-owned and controlled by Caymanians. This policy is reflected in the requirements of the Trade and Business Licensing Act and the Local Companies (Control) Act (As Revised).

To obtain a standard Trade & Business License for local market operations, a company must be at least 60% Caymanian-owned and controlled. This means that not only must the majority of the shares be held by Caymanians, but effective control, including voting rights and decision-making authority, must also rest with Caymanians.

If your business does not meet this threshold, you will need to apply for a Local Companies (Control) License (LCCL) in addition to your Trade & Business License. The LCCL application process is rigorous, with each case assessed individually by the Trade and Business Licensing Board. The Board considers a wide range of factors, including:

  • Whether Caymanian participation has been actively sought
  • The economic impact of the proposed business on existing local operators
  • The technical expertise and financial resources of the applicants
  • Any potential environmental, health or community implications

Foreign investors are often unaware of the level of scrutiny these applications involve. Simple incorporation is not enough, if you intend to operate in the Cayman Islands domestic market without majority Caymanian ownership, LCCL approval is mandatory.

At KSG Attorneys, we regularly advise clients on how to meet these requirements, present strong LCCL applications, and structure their businesses in a way that aligns with local legal and regulatory expectations.

The Trade & Business License Application Process

The Trade & Business Licensing process in the Cayman Islands is governed by statutory requirements, due diligence standards, and strict timelines. Submitting an incomplete or inaccurate application can cause delays, requests for additional information, or outright refusal.

At KSG Attorneys, we provide comprehensive legal support to ensure your application is completed correctly the first time, with all necessary documentation and disclosures.

1. Preparation

We begin by assessing your business model, ownership structure, and licensing needs. Depending on whether you’re applying as a sole trader, registered company, or partnership, we guide you in gathering the required documents, such as corporate filings, lease agreements, proof of identity or status, and police clearance certificates where applicable.

For non-Caymanian applicants or companies with overseas shareholders, additional due diligence and supporting documents will be required. This may include financial references, passport copies, and confirmation of residency or immigration status.

2. Submission via DCI Online Portal

Once your application is complete, it is submitted through the Department of Commerce and Investment’s online portal. We handle the digital submission process, pay the required filing fees, and ensure that the license fee is calculated in line with the Schedule of Fees, including any applicable discounts under the Micro and Small Business Incentive Programme.

3. Review and Liaison

The application is reviewed by DCI officers and, where necessary, referred to the Trade and Business Licensing Board. We communicate directly with the relevant authorities on your behalf, respond to any information requests, and keep you informed of the status at every stage.

4. Issuance and Post-Approval Requirements

Once approved, the license is issued and must be displayed at your place of business. We advise on your ongoing obligations, including renewal deadlines, annual return filings, and notification requirements if the nature of your business changes.

From start to finish, our goal is to minimise risk and delay while maximising the clarity, strength, and compliance of your application.

Licensing Challenges for Foreign Investors

The Cayman Islands is a popular jurisdiction for international business and investment, but foreign-controlled companies face additional licensing requirements before they can legally operate in the local market. Without Caymanian majority ownership and control, your business will not qualify for a standard Trade & Business License alone, it must also obtain a Local Companies (Control) License (LCCL).

The LCCL process is no mere formality. Each application is reviewed on its individual merits by the Trade and Business Licensing Board, which considers a wide range of economic, social, and legal factors. These may include:

  • The current state of the Cayman Islands economy and the potential impact of your business on existing local operators
  • The technical skills and experience of your management team
  • Your company’s financial standing and ability to operate sustainably
  • Any environmental, public health, or social considerations
  • Evidence that you have made genuine efforts to engage or partner with Caymanians

Additional due diligence requirements often apply to foreign shareholders, directors, and beneficial owners. These may include police clearance certificates from your country of residence, financial references from longstanding banking institutions, and detailed disclosures about ownership and control.

Without proper legal guidance, it is easy for an LCCL application to be delayed, questioned, or rejected. At KSG Attorneys, we regularly work with foreign clients to structure their business in a way that complies with local law, prepares robust LCCL submissions, and anticipates regulatory concerns before they arise.

Whether you are expanding an existing global brand into the Cayman Islands or launching a new venture with international backers, we are here to help you meet the legal thresholds and get your business up and running without unnecessary delay.

FAQs

How long does it take to get a Trade & Business License in the Cayman Islands?

The timeline can vary depending on the nature of the business and the completeness of the application. For straightforward applications, approval may take a few weeks. More difficult cases, particularly those involving foreign ownership or LCCL applications, may take several months. Engaging legal counsel helps avoid delays and ensures your submission is compliant from the outset.

Can a foreign-owned company apply for a Trade & Business License in the Cayman Islands?

Yes, but if the company does not meet the 60% Caymanian ownership and control requirement, it must also apply for a Local Companies (Control) License (LCCL). These applications are reviewed on a case-by-case basis and require detailed supporting information. Legal guidance is strongly recommended to improve the likelihood of approval.

What happens if I operate without a valid Trade & Business License?

Operating without a valid license is a criminal offence in the Cayman Islands. You may face fines, business disruption, and possible legal action. It can also affect your ability to renew or obtain other licenses in future. If you’re unsure about your licensing obligations, speak to our legal team before proceeding.

What documents are required for a Trade & Business License application?

Requirements vary based on the type of applicant, but commonly include a completed application form, proof of Caymanian status or company registration documents, a copy of your commercial lease or premises agreement, police clearance certificates, and a non-refundable filing fee. Non-Caymanian applicants may also need to provide financial references and identification documents for all beneficial owners and directors. Our attorneys can help ensure all documentation is in order before submission.

Can I apply for a license if I haven’t secured a commercial location yet?

Yes, you can submit a letter of intent confirming your intended business premises. However, the Trade and Business Licensing Board may require confirmation of a lease before final approval is granted. We assist clients in handling this requirement, particularly for new ventures or businesses still in the setup phase.

What is the Micro and Small Business Incentive Programme?

This programme offers reduced license fees for eligible Caymanian-owned businesses that meet certain criteria related to size and revenue. If you qualify, you may receive significant savings on your annual license costs. We can advise you on eligibility and help apply under this programme as part of the licensing process.
